Terms of Use (EULA)

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the digital signage services AdCast website, AdCast App and AdCast Player (collectively, the "Service") provided by AdCast LLC ("AdCast," "we," "our," or "us"), located at 75 E 3rd St Ste 7, Sheridan, WY 82801, USA.

These Terms incorporate and supplement the Apple Media Services End User License Agreement (“Apple EULA”), which you accepted when downloading the AdCast app from the Apple App Store. In the event of a conflict, the Apple EULA will govern.

By using the Service, you agree to be bound by these Terms, the Apple EULA, and our Privacy Policy. If you do not agree or lack authority to bind your organization, you must not use the Service.

2. Relationship with Apple

You acknowledge that:

• These Terms are between you and AdCast LLC, not Apple.
• Apple is not responsible for the Service, its content, or its availability.
• Apple has no obligation to provide maintenance, support, or warranty for the Service.
• To the maximum extent permitted by law, Apple disclaims all warranties with respect to the Service.

Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms. Upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you.

3. Description of the Service

The Service allows registered users to:

• Upload and manage photos, videos, and media files
• Create custom ads using in-house templates, stickers (SVG), and animations
• Organize ads into playlists
• Cast or play ads on supported devices via AdCast Player

The Service is intended for individuals 18 years and older for personal or business use.

4. License Grant

Subject to these Terms and the Apple EULA, AdCast grants you a limited, non-exclusive, non-transferable, revocable license to use the Service on any Apple-branded device you own or control, as permitted by the Apple EULA.

5. Definitions

AdCast Platform refers to our web-based and mobile application-based digital signage content management system available at https://www.adcast.app.
Authorized User means any employee, contractor, or agent who is authorized by the Customer to access and use the Services under the Customer's account.
Registered Device or Player refers to any compatible hardware device (such as an Android TV box) registered to run the AdCast software.
Services encompasses all tools, features, and infrastructure provided by AdCast, including software, APIs, portals, and related support.
Subscription Term means the duration of the Customer's access to the Services, as specified in the chosen subscription plan.

6. User Accounts, Account Creation and Security

You must provide accurate registration details and safeguard your account credentials. You are responsible for all activity under your account. Notify AdCast immediately of unauthorized use. Apple is not responsible for account management or security.

To access the full features of the Service, you must:

• Create an account using a valid email address and password
• Keep your login credentials secure and confidential

You are responsible for all activity under your account and must maintain the confidentiality of your login credentials. AdCast is not liable for losses due to unauthorized use. You agree to notify us immediately of any unauthorized access or security breach.

7. User Content and Conduct. Use Restrictions

You retain ownership of the content you upload or create ("User Content"). By uploading content, you grant AdCast LLC a limited, non-exclusive, royalty-free license to store, process, and display your content solely to provide the Service.

You agree not to upload, publish, or share any content that:

• Violates any law or regulation
• Uploads unlawful, harmful, or infringing material
• Infringes on third-party intellectual property rights
• Is obscene, harmful, abusive, or misleading
• Includes malware or harmful code

We reserve the right to remove any content that violates these Terms or applicable law.

You shall not:
- Circumvent system protections, decompile, reverse-engineer, or attempt to extract source code.
- Copy, modify, or create derivative works of the Services.
- Distribute or sublicense the Services without prior written consent.
- Upload any content that violates laws or third-party rights.
- Circumvent access controls or exploit the system for unintended purposes.
- Share, resell, or sublicense the Service

8. Intellectual Property

Everything you see in the AdCast platform — like our logos, templates, stickers, animations, and other creative elements — belongs to AdCast LLC or is licensed to us. These materials are protected by copyright and trademark laws.

Please don’t copy, change, share, sell, or reuse any part of our services or content unless you have written permission from us.

All the rights to our software, designs, brand, and documentation remain with AdCast or our partners. You’re not allowed to use the AdCast name or logos unless we’ve given you written approval first.

9. Device Usage Policy

Each subscription permits usage on a single Registered Device. Devices provided by AdCast become the property of the Customer after twelve consecutive months of subscription payments. Such devices are non-transferable and cannot be reassigned to other accounts or used across unrelated screens.

10. Disclaimers

The Service is provided "as is" and "as available". Your use of the service is at your sole risk. The Service and the information, services, products, programs and materials available through it are provided on an “as is” and “as available” basis. Use of the Service is at your own risk. We disclaim all warranties, express or implied, to the fullest extent permitted by law. AdCast does not guarantee that the Service will be:

• Error-free or uninterrupted
• Compatible with every device or system
• Suitable for any specific purpose

To the fullest extent permissible pursuant to applicable law, AdCast and its affiliates expressly disclaim all warranties of any kind whether express or implied, including but not limited to any warranties of title, or implied warranties of merchantability, fitness for a particular purpose and non-infringement.

AdCast does not make any warranty that (A) the service or its content will meet your requirements, or (B) that the service will be uninterrupted, timely, secure, or error free, or (C) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, or (D) that defects, if any, will be corrected. You agree that AdCast shall have no responsibility for any damages suffered by you in connection with the service or any content contained therein.

You expressly agree that use of this service, including all content, data or software distributed by, downloaded or accessed from or through this service, is at your sole risk. You understand and agree that you will be solely responsible for any damage to your business, your computer system or loss of data that results from the download of such content, data and/or software.

You acknowledge that AdCast does not control in any respect any information, products, or services offered by third parties on or through this service. Except as otherwise agreed in writing, AdCast and its affiliates assume no responsibility for and make no warranty or representation as to the accuracy, currency, completeness, reliability or usefulness of content or products distributed or made available by third parties through this service.

You acknowledge that AdCast makes no warranty or representation that confidentiality of information transmitted through this service will be maintained.

No advice or information, whether oral or written, obtained by you from AdCast or through or from the service shall create any warranty not expressly stated in the agreement.

Apple makes no warranties regarding the Service. Use of the Service is at your own risk. We disclaim all warranties, express or implied, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, AdCast LLC shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Apple has no liability whatsoever under these Terms.
• Any loss of data, revenue, profits, or business opportunity
• Any damages arising from unauthorized access to your content or account

Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us (if any) in the 12 months prior to the event.

12. Third-Party Services

The Service uses third-party services including:

• Firebase (Google) for analytics and notifications
• Sentry for error/crash reporting

Your use of these features is also governed by the respective third-party terms and privacy policies.

13. Free vs. Paid Plans

Customers may select from a free or paid plan:
- Free plans do not expire but will be deactivated after 365 days of inactivity. Free plans does not include ability to cast your ads to a device and storage space is limited to 500MB.
- Paid plans renew based on the agreed billing cycle and enable access to extended features and additional Registered Devices.
If a free plan account becomes inactive, AdCast will issue reminder notifications before deletion. Deleted accounts are unrecoverable.

14. Fees and Payment

Fees are listed on our website and may be updated. Payments are processed through Apple’s App Store (for in-app purchases) or Google Play Store or authorized third-party processors. Payments are non-refundable except as required by Apple or law.

Customers are responsible for applicable taxes. Payments are non-refundable unless otherwise stated in writing. Failure to pay may result in suspension or termination of services.

15. Customer Responsibilities

Customers must:
- Ensure hardware compatibility and network reliability.
- Prevent unauthorized access to Services.
- Comply with applicable laws and regulations.
- Provide accurate content and obtain necessary permissions for uploaded materials.

16. Data Privacy and Content

Use of the Service requires collection and processing of data in accordance with our Privacy Policy. Apple is not responsible for AdCast’s handling of your data.

By using the Services, you consent to our handling of personal and operational data.
You retain ownership of content you upload. You grant AdCast a limited license to host and display your content solely for the purpose of providing the Services.

17. Third-Party Integrations

Our Services may interface with third-party services or software. AdCast is not responsible for the functionality, terms, or content of such third-party tools.

18. Warranties and Disclaimers

We warrant that:
- We have legal authority to offer these Services.
- The Services will function substantially as described in documentation.
Except as expressly provided, the Services are provided "as-is" without additional warranties. AdCast disclaims all other warranties, including implied warranties of merchantability or fitness for a particular purpose.

19. Limitation of Liability

To the fullest extent permitted by law, AdCast shall not be liable for indirect or consequential damages, loss of profit, or data loss. Our total liability in any 12-month period will not exceed the fees paid by you during that time or $100, whichever is greater.

20. Indemnification

You agree to indemnify AdCast against claims arising from your misuse of the Services, breach of these Terms, or violation of third-party rights.

21. Suspension and Termination

We may suspend or terminate your account for breach of these Terms. You may also terminate your subscription through your App Store account. Upon termination, your license to use the Service ends immediately.

Either party may terminate this Agreement with notice if the other party materially breaches its terms. Termination may also occur due to insolvency, illegal activity, or non-payment.
Upon termination:
- Access to Services will end.
- AdCast may delete Customer data.
- Outstanding payments remain due.
- Free plan users may continue with limited access unless they request account deletion.

22. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business or technical information shared under this Agreement.

23. Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, or telecommunications failure.

24. Marketing and Publicity

You grant AdCast permission to list you as a customer, use your name and logo in marketing materials, and feature anonymized use cases unless you opt out in writing.

25. Assignment

You may not assign this Agreement without AdCast's prior consent. We may transfer this Agreement in connection with a merger or sale.

26. Entire Agreement

This Agreement, along with our Privacy Policy and any applicable orders or addendums, constitutes the complete agreement between the parties.

27. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law rules.

Disputes will be subject to courts located in Sheridan County, Wyoming, except where local law provides otherwise.

28. DMCA Policy

If you believe your copyright-protected work has been used without authorization on our platform, you may send a DMCA notice to:

Your DMCA notice should include:

• Your contact details
• A description of the copyrighted work
• The location of the infringing content
• A statement under penalty of perjury of your ownership

29. Amendments to Terms

AdCast reserves the right to modify this Agreement at any time. You will be notified of major changes via the app or your registered email. Continued use of the Services constitutes acceptance of the revised Terms.
